VENDOR TERMS

1. Eligibility
You must operate as a registered legal business entity (sole proprietorship, company, or equivalent in your jurisdiction) to become a vendor. Einher may ask for a valid VAT/business registration number as part of registration, and may require proof of business registration or supplement-specific compliance documentation before approving your account.
2. Account status
Your vendor account starts as pending upon registration. An admin reviews new vendor accounts before approving them to active status — only active vendors can publish products publicly. Einher may suspend a vendor account at any time for violations of these terms, quality or compliance issues, or customer complaints, with or without notice depending on severity.
3. Commission
Einher takes a 15% commission on the sale price of each item sold through the marketplace, reflecting the marketing exposure, discovery placement, and payment infrastructure Einher provides — not just payment processing. This rate applies to all vendors equally unless a separate written agreement states otherwise, and Einher may change this rate with reasonable advance notice to active vendors.
4. Payouts — current status
Marketplace payments are not yet operational. Registering as a vendor and being approved to active status does not yet mean you can process real sales or receive payouts — this requires both your Mollie Connect onboarding and Einher's platform-side payment integration to go live, neither of which has happened as of this version of these Terms. Once payments go live: payouts will be processed through Mollie Connect once your account and Mollie onboarding are both complete, on a rolling basis, a defined number of business days after order fulfillment, subject to Mollie's own processing times and any applicable minimum payout threshold. Exact figures will be published here and communicated to active vendors before the feature ships — nothing about your commission rate or payout terms will be sprung on you without notice.
5. Product listings
You're responsible for the accuracy of everything you list: description, pricing, stock levels, and images. Product images must accurately represent the item being sold — no stock photos misrepresenting the actual product, no misleading claims. Listings must comply with all applicable law in the jurisdictions you sell into, including labeling and safety requirements for your product category. Supplements specifically require a valid compliance reference (e.g. a food/supplement safety registration number) before a listing can be published — Einher's platform enforces this technically, not just contractually.
6. Prohibited items
You may not list: counterfeit or unauthorized branded goods; items that violate Einher's Terms of Service content policies; products requiring regulatory approval you don't hold (e.g. unapproved supplement ingredients, prescription-only items); or anything illegal to sell in Belgium or the buyer's jurisdiction.
7. Order fulfillment and returns
You're responsible for fulfilling orders promptly and handling customer service for your own products, including returns and refunds, in line with applicable consumer protection law (including EU distance-selling rules where applicable). Einher may step in on your behalf where a pattern of unresolved customer complaints affects the marketplace's standing, up to and including suspending the affected listings or your account.
8. Intellectual property
You retain ownership of your product content (photos, descriptions, branding). By listing a product, you grant Einher a license to display that content across the app, einher.store, and any marketing placements (including the Home screen banner) as part of operating the marketplace.
9. Termination
You may close your vendor account at any time; open orders must still be fulfilled first. Einher may terminate a vendor account for repeated violations of these terms, fraud, or conduct that harms the marketplace or its buyers.
10. Liability
The marketplace is provided "as is." Einher is not a party to the sale contract between you and the buyer — you are the seller of record and bear responsibility for your products, including any injury, defect, or dispute arising from them, to the maximum extent permitted by law.
11. Governing law
These Vendor Terms are governed by the laws of Belgium, consistent with our general Terms of Service.
